Terms of Service

1. Acceptance and Scope

These Terms of Service (“Terms”) govern your use of the ComStack website at comstack.ai and, where applicable, the ComStack platform and associated services (collectively, “the Service”), operated by Transformento S.L., Calle Graham Bell, 6 – 1, Oficina 12, 29590 Málaga, Spain (“ComStack”, “we”, “us”).

By visiting this website or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Website visitors are subject to sections 1, 6, 7, and 14–16 of these Terms.

Operators — companies and professionals who create and manage projects on the ComStack platform — are subject to these Terms in full. Operator access to the platform constitutes acceptance of these Terms.

These Terms are a business-to-business agreement. The ComStack platform is not a consumer product. If you are accessing the platform on behalf of a company or organisation, you confirm that you are authorised to bind that entity to these Terms.


2. The Service

ComStack is a hosting and publishing platform that enables operators to build and manage AI-powered websites and content projects. The Service includes:

  • Infrastructure for hosting operator-built websites and content
  • A content management system (CMS) accessible via the ComStack Studio
  • AI-powered tools for content extraction, structuring, generation, and voice interaction
  • The ComStack Chrome Extension, a professional content management tool for operators
  • API access and associated developer tools
  • Background agent services for automated content tasks

ComStack provides infrastructure and tools. We are not a publisher, editor, or co-author of any content that operators create, publish, or distribute using the Service.


3. Operator Accounts

Registration

To access the platform, operators must register for an account. You agree to provide accurate, complete, and current information and to keep it updated. Accounts registered with false information may be terminated.

Account security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@comstack.ai if you suspect unauthorised access.

One account per entity

Each legal entity may maintain one operator account unless otherwise agreed in writing with ComStack.

Eligibility

The platform is available to businesses and professionals. You must be of legal age to enter into contracts in your jurisdiction and must not be prohibited from using the Service under applicable law.


4. Operator Responsibilities

This section defines what operators are responsible for. ComStack provides infrastructure. Operators are responsible for everything that runs on it.

Content

You are solely responsible for all content you create, upload, publish, or distribute using the Service — including text, images, documents, data, and any other materials (“Operator Content”). ComStack does not review, edit, or endorse Operator Content.

Content acquisition and publishing

Operators can publish content through any access method the Service provides — including the ComStack Studio, the Chrome Extension, the API, the MCP server, or any other current or future interface. Regardless of how content enters the platform, you are solely responsible for ensuring that what you publish:

  • Does not infringe any third party’s copyright, trademark, database rights, or other intellectual property rights
  • Was acquired with appropriate authorisation where required
  • Is accurate and not misleading to your users
  • Complies with all laws applicable to the subject matter of the content

ComStack provides infrastructure and access interfaces. It has no visibility into, and takes no responsibility for, the origin or legality of the content you choose to publish through any of them.

Web content capture and the Chrome Extension

The ComStack Chrome Extension includes functionality to capture content from third-party websites as part of a publishing workflow. This capability gives operators a fast way to ingest web content into their projects, and with it comes specific responsibility.

You are solely responsible for ensuring that any content captured from a third-party website and published via the Extension:

  • Does not infringe the copyright, database rights, or other intellectual property of the source website or its contributors
  • Is captured and used in a manner consistent with the terms of service of the source website
  • Is not used in a way that misrepresents its origin or authorship

ComStack provides the capture tool. What you capture, from where, and what you do with it is your responsibility entirely.

Compliance with applicable law

You are responsible for ensuring your use of the Service and your published websites comply with all laws applicable to your business and your users, including but not limited to:

  • Data protection law (including GDPR where applicable to your users)
  • Consumer protection legislation
  • Advertising standards and sector-specific regulation
  • Laws governing the content you publish and the services you offer to your users

Your end users

If you operate a website built on the ComStack platform that is accessed by your own users, you are solely responsible for:

  • Your relationship with those users
  • Your own terms of service and privacy policy, which you must publish and maintain
  • Obtaining any consents required from your users
  • Handling any data you collect from your users in compliance with applicable law

ComStack is an infrastructure provider. We are not a party to the relationship between you and your users, and we are not a co-controller of data you collect from them.

No illegal or harmful use

You may not use the Service to publish, distribute, or facilitate any content or activity that is illegal, harmful, defamatory, fraudulent, or that violates the rights of any third party.


5. AI Services — Limitations and Operator Obligations

ComStack uses AI extensively — for content extraction, document structuring, voice interaction, content generation, and automated tasks. You must understand and accept the following before using these features.

AI outputs are not guaranteed

All AI-generated and AI-assisted outputs — including extracted content, structured documents, generated text, voice responses, and agent actions — are produced by probabilistic models. They may be inaccurate, incomplete, outdated, biased, or otherwise unsuitable for your intended use. ComStack makes no warranty as to the accuracy, completeness, fitness for purpose, or reliability of any AI output.

You must verify before publishing

You are responsible for reviewing and verifying all AI-generated or AI-extracted content before publishing it. Publishing AI output without review is at your sole risk. ComStack is not liable for any consequences arising from errors, omissions, or inaccuracies in AI output that you publish or act upon.

AI does not constitute professional advice

Nothing produced by ComStack’s AI tools constitutes legal, financial, medical, technical, or other professional advice. Do not rely on AI output in place of qualified professional judgement.

Third-party AI models

ComStack uses third-party AI models including Google Gemini. The availability, behaviour, and outputs of these models are subject to change by their providers. ComStack is not liable for changes in model behaviour, capability, or availability.

Automated agents

ComStack’s background agent services can perform automated tasks on your content. You authorise ComStack to execute agent actions you have configured. You remain responsible for the outputs those agents produce and publish.


6. Acceptable Use

You may not use the Service to:

  • Violate any applicable law or regulation
  • Infringe the intellectual property rights of any third party
  • Upload or distribute malware, spam, or malicious code
  • Attempt to gain unauthorised access to the Service or its underlying infrastructure
  • Abuse or circumvent rate limits, API quotas, or platform restrictions
  • Resell or sublicense access to the Service without written permission from ComStack
  • Use AI features to generate content intended to deceive, defame, or harm

ComStack reserves the right to suspend or terminate access for any operator that violates these terms without prior notice where necessary to protect the Service or third parties.


7. Intellectual Property

ComStack’s IP

The ComStack platform, including its software, design, architecture, APIs, and AI systems, is the intellectual property of Transformento S.L. These Terms do not grant you any rights in ComStack’s IP beyond the right to use the Service as described herein.

Operator Content

You retain all rights in Operator Content. By publishing content through the Service, you grant ComStack a limited, non-exclusive, royalty-free licence to host, store, and serve that content solely for the purpose of providing the Service to you. We do not use Operator Content to train AI models.

Feedback

If you provide feedback or suggestions about the Service, you grant ComStack the right to use that feedback without restriction or compensation.


8. Third-Party Services

The Service integrates with third-party services including Google Firebase, Google Gemini, Cloudinary, Twilio, and Stripe. These services are subject to their own terms and privacy policies. ComStack is not liable for the availability, performance, or actions of third-party services. Disruption to a third-party service does not give rise to a claim against ComStack.


9. Subscription and Billing

Pricing

ComStack services are priced individually and quoted per engagement. A published pricing page will be made available when standard tiers are launched. Until then, fees are agreed in writing between ComStack and the operator before service commencement.

Payment terms

All fees are invoiced monthly in advance. Payment is due upon receipt of invoice. The Service is activated or continued upon confirmed receipt of payment.

Payments are accepted in EUR and USD via Stripe or as otherwise agreed in writing.

Prepayment and extended commitments

The default contract is month-to-month. Extended commitments (quarterly, annual, or other periods) may be agreed in writing and may attract a discount. Unless otherwise agreed, the terms of this section apply to all commitments.

VAT and taxes

Spanish operators: Invoices include 21% IVA as required under Spanish law.

EU operators with a valid VAT number: The reverse charge mechanism applies under EU Directive 2006/112/EC. ComStack will not charge VAT on invoices issued to EU-registered businesses with a valid VAT number. You are responsible for self-accounting for VAT in your jurisdiction. You must provide a valid VAT number at registration or before your first invoice.

EU operators without a valid VAT number: Invoices include 21% VAT, which ComStack is required to charge under EU rules.

Non-EU operators (including US): VAT does not apply. Invoices are issued exclusive of VAT. You are responsible for any taxes applicable in your own jurisdiction.

You are responsible for any withholding taxes or other taxes applicable in your jurisdiction beyond what is stated above.

Failed payments and suspension

If a payment fails, ComStack will notify you and attempt to collect payment again on day 3. If payment has not been received by day 7 following the original due date, ComStack may suspend access to the Service without further notice. Suspended accounts retain their data. Access is restored upon payment of all outstanding amounts.

Cancellation

You may cancel your subscription at any time by notifying ComStack in writing before the end of your current billing period. Cancellation takes effect at the end of the period in which notice is given. No refunds are issued for any portion of a prepaid billing period.

Price changes

ComStack will provide at least 60 days’ written notice before increasing fees for an existing operator. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing. If you do not accept the new pricing, you may cancel before the effective date at no penalty.

Data after termination

Following termination of an operator account — whether by cancellation, non-payment, or any other reason — ComStack will retain your project data for 90 days. You may request an export of your content at any time during this period by contacting support@comstack.ai. After 90 days, your data will be permanently deleted. ComStack will send a warning notification before deletion occurs.


10. Service Availability

ComStack aims to provide a reliable service but does not guarantee specific uptime levels unless a service level agreement has been agreed in writing. The Service is provided “as is” and “as available”. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where possible.

Planned maintenance and third-party service interruptions are not grounds for compensation or refund.


11. Suspension and Termination

By ComStack

ComStack may suspend or terminate operator access immediately and without prior notice if:

  • You violate these Terms in a way that poses risk to the Service, other operators, or third parties
  • You engage in abusive or unlawful use of the platform or AI features
  • Payment has not been received after the process described in section 9

In other cases, ComStack will provide reasonable written notice and an opportunity to remedy the breach before taking action.

By the operator

You may terminate your account at any time in accordance with the cancellation procedure in section 9.

Effect of termination

On termination, your right to access the Service ends immediately. Section 9 (data retention after termination), section 7 (IP), section 13 (limitation of liability), and section 14 (governing law) survive termination.


12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • ComStack’s total liability to you for any claim arising under or in connection with these Terms is limited to the total fees paid by you to ComStack in the 3 months preceding the event giving rise to the claim.
  • ComStack is not liable for any indirect, consequential, incidental, special, or punitive damages, including loss of profits, loss of data, loss of business, or reputational harm, whether arising in contract, tort, or otherwise, even if advised of the possibility of such damages.
  • ComStack is not liable for any loss or damage arising from AI output you relied upon without independent verification, content published through any access method including the API, MCP server, Chrome Extension, or Studio, third-party service failures, or any action taken by an automated agent you configured.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.


13. Indemnity

You agree to indemnify and hold harmless Transformento S.L., its officers, employees, and agents from any claim, loss, liability, or expense (including reasonable legal fees) arising from: your Operator Content; your use of the Service in breach of these Terms; any claim by your end users relating to your website or services; or your violation of any applicable law.


14. Governing Law and Jurisdiction

These Terms are governed by the laws of Spain. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Málaga, Spain, without prejudice to any mandatory consumer protection provisions that may apply in your jurisdiction.


15. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days’ written notice to operators with active accounts. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. The current version is always published at comstack.ai/terms.html with a “Last updated” date.
